Terms of Service for Maple Leaf Garden Works

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern the provision of services by Maple Leaf Garden Works, located at 1425 Yonge Street, Toronto, ON M4T 1Y7, Canada, email: [email protected], phone: +1 (416) 782-6394 (collectively, “Maple Leaf Garden Works,” “we,” “us,” or “our”).

By requesting, scheduling, purchasing, or otherwise using any of our services, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms are intended to be interpreted in accordance with applicable laws in Canada, including applicable provincial and federal laws, and, where relevant, consumer protection, privacy, and contract laws.

2. Scope of Services

Maple Leaf Garden Works provides garden and outdoor property services, which may include, without limitation:

  • Garden design and planning
  • Seasonal planting
  • Lawn and garden maintenance
  • Pruning and shrub care
  • Mulching and soil improvement
  • Weed control and bed cleanup
  • Irrigation system checks

The exact scope, schedule, pricing, and deliverables for any engagement will be set out in a quote, estimate, work order, invoice, service agreement, or other written confirmation provided by Maple Leaf Garden Works (each, an “Order”). In the event of a conflict between an Order and these Terms, the Order will prevail only to the extent of the specific conflict.

We may refuse, suspend, or modify services where site conditions, weather, safety concerns, access limitations, or legal restrictions make performance impractical, unsafe, or impossible.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, complete, and current information when requesting services.
  • Ensure safe, lawful, and unobstructed access to the property and work areas during scheduled service times.
  • Disclose any known hazards, including underground utilities, irrigation lines, pest issues, chemical treatments, unstable structures, or protected plants.
  • Obtain all necessary permissions, approvals, permits, or consents required for the requested services, including landlord, condominium, municipal, or neighbour approvals where applicable.
  • Remove or secure personal property, fragile items, pets, and valuables from work areas before service begins.
  • Ensure that children, pets, and third parties remain clear of active work areas and equipment.
  • Use any products, materials, or recommendations we provide in accordance with instructions and applicable law.
  • Promptly review completed work and notify us of any concerns within a reasonable time after service completion.

You are responsible for any damage, delay, or additional costs resulting from inaccurate information, hidden conditions, unsafe site conditions, lack of access, or failure to comply with these Terms.

4. Payment Terms and Conditions

Unless otherwise stated in an Order, fees are due upon completion of services or upon invoice issuance, whichever occurs first. We may require a deposit, advance payment, or milestone payments for larger or recurring projects.

  • All prices are stated in Canadian dollars (CAD) unless otherwise indicated.
  • Applicable taxes, including GST/HST and any other required taxes, will be added where required by law.
  • Late payments may be subject to interest at the maximum rate permitted by law, or at a rate specified in the Order, if lower.
  • You are responsible for any collection costs, bank charges, chargeback fees, or reasonable enforcement expenses permitted by law.
  • We may suspend services for overdue accounts until all outstanding amounts are paid in full.

Estimates are based on information available at the time of quotation and may change if site conditions, material costs, labour requirements, or the scope of work differ from what was originally disclosed. Any material change may require your approval before additional work proceeds.

5. Cancellation and Refund Policy

You may cancel or reschedule a service by providing reasonable notice. Unless an Order states otherwise, cancellations made less than 48 hours before a scheduled appointment may be subject to a cancellation fee to cover reserved labour, travel, and preparation costs.

If Maple Leaf Garden Works cancels or materially reschedules a service for reasons within our control, we will make reasonable efforts to reschedule or issue a refund for prepaid amounts relating to undelivered services, subject to any non-recoverable costs already incurred with your approval.

Refunds, if any, are limited to amounts paid for services not yet performed, unless otherwise required by applicable law or expressly stated in an Order. Completed services, custom work, perishable materials, planted materials, and work performed at your request are generally non-refundable, except where required by law.

Weather, seasonal conditions, and site conditions may require rescheduling. Reasonable weather-related delays do not constitute a breach of these Terms.

6. Liability Limitations

To the fullest extent permitted by applicable law, Maple Leaf Garden Works shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of use, loss of enjoyment, loss of profits, or loss of business opportunities, arising out of or relating to the services or these Terms.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the amount paid by you to Maple Leaf Garden Works for the specific service giving rise to the claim.

We are not responsible for:

  • Pre-existing damage, hidden defects, or latent site conditions.
  • Damage caused by underground utilities, irrigation systems, unstable soil, pests, disease, or weather events.
  • Plant failure due to improper care, extreme weather, poor drainage, soil conditions, pests, disease, or failure to follow maintenance instructions.
  • Damage caused by third parties, animals, vandalism, acts of nature, or force majeure events.
  • Any loss resulting from your failure to disclose relevant site conditions or to follow our recommendations.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations where such limitation is prohibited.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in our pre-existing materials, methods, templates, designs, plans, drawings, concepts, estimates, documents, and know-how remain the property of Maple Leaf Garden Works or our licensors.

Upon full payment of all amounts due, you receive a non-exclusive, non-transferable licence to use any deliverables created specifically for you solely for the intended purpose of the project at the serviced property, unless otherwise stated in an Order.

You may not copy, reproduce, distribute, modify, sell, or commercially exploit our materials or deliverables except as expressly permitted in writing or as allowed by law.

You grant Maple Leaf Garden Works a limited licence to use any materials, photos, or information you provide to us solely for the purpose of performing the services, maintaining records, and communicating with you.

8. Data Protection and Privacy

Maple Leaf Garden Works collects, uses, and discloses personal information only as reasonably necessary to provide services, manage accounts, communicate with clients, comply with legal obligations, and improve our operations.

We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

We may share personal information with trusted service providers, contractors, payment processors, or advisors who assist us in operating our business, provided they are subject to appropriate confidentiality and use restrictions.

Where applicable, our handling of personal information will be consistent with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.

By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and in any applicable privacy notice we may provide. You may contact us to request access to or correction of your personal information, subject to legal and contractual limitations.

9. Force Majeure

Maple Leaf Garden Works shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to: severe weather, floods, fire, storms, labour disputes, supply shortages, power outages, transportation disruptions, acts of government, public health emergencies, utility failures, or other force majeure events.

If a force majeure event occurs, we may suspend performance for the duration of the event and resume services when reasonably practicable. If the event materially affects performance, we may cancel or reschedule the affected services without liability, except for any refund obligations expressly required by law or agreed in writing.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will be effective when posted or otherwise communicated to you, unless a later effective date is stated.

Your continued use of our services after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory consumer protection rights or other non-waivable legal rights, the parties agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the services.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be deemed modified to the minimum extent necessary to reflect the parties’ original intent, to the fullest extent permitted by law.
